Terms & Conditions

These terms govern your use of longson.studio. They do not replace the separate services agreement used for Launch Kit™, Raise Kit™ or other client work.

1.About us

Longson Studio is a trading name of Alex Longson Ltd, a private limited company registered in Scotland under company number SC739129. Our registered office is Third Floor, 3 Hill Street, Hill Street, Edinburgh, Scotland, EH2 3JP.

2.These terms

These terms apply when you access or use longson.studio and any pages operated by Alex Longson Ltd under the Longson Studio name.

By using the website, you agree to these terms. If you do not agree to them, please do not use the website.

If you become a client, the scope, fees, timetable, deliverables, intellectual-property arrangements and other terms of the engagement will be set out in a separate written services agreement. If these website terms conflict with a signed services agreement, the signed services agreement takes priority for that engagement.

3.Who the website is for

Longson Studio works with founders, companies and other organisations, but the website is publicly accessible and may also be used by individuals acting as consumers.

Nothing in these terms excludes or limits rights that cannot lawfully be excluded, including mandatory consumer rights where they apply.

The website and Longson Studio's professional services are intended for adults aged 18 or over. They are not directed at children.

4.Information on the website

We take reasonable care over the information published on the website, but it is provided for general information and business-development purposes.

Case studies, project descriptions, prices, timelines, availability, fundraising figures and other examples may describe particular projects or circumstances. They are not promises that another client will achieve the same result.

References to starting in as fast as two days, four-week delivery or other timings describe intended or typical project scheduling and are subject to studio capacity, timely client feedback, agreed scope and the terms of the relevant services agreement.

We may update, remove or change website content without notice.

5.Prices and project enquiries

Prices displayed on the website, including Launch Kit™ and Raise Kit™ pricing, are stated exclusive of VAT where VAT is applicable unless the page expressly says otherwise.

Our standard commercial approach is payment of the agreed project fee 100% upfront, unless a different arrangement is agreed in writing.

Where we agree an instalment plan, spread payment, raise-based payment structure or another commercial arrangement, its terms must be recorded in the applicable written services agreement or another written agreement.

Website descriptions and prices are invitations to enquire and do not by themselves create a contract for professional services.

A project becomes binding only in accordance with the separate agreement we enter into with the client.

6.Cancellations and reserved studio time

Our work is capacity-based. When a project is confirmed, studio time and personnel may be reserved for that engagement.

Unless the applicable services agreement says otherwise, payments already made are generally non-refundable once the engagement has been confirmed because capacity has been allocated and work or preparation may have begun.

Any legally mandatory cancellation or refund rights available to a consumer remain unaffected.

The applicable signed services agreement governs cancellation, postponement, termination and refunds for client work.

7.Naming and trademark checks

Where a service includes a name appraisal or trademark check, this is preliminary creative and commercial due diligence intended to help identify obvious issues.

It is not legal advice, a formal legal clearance opinion, a guarantee that a mark is registrable, or a guarantee that use of a name will not infringe another party's rights.

Clients remain responsible for obtaining specialist legal advice and formal trademark searches or registrations where appropriate.

8.Client responsibility for claims and approvals

Clients are responsible for the accuracy and legality of the information, claims, data, product statements and other materials they approve for publication.

Our strategic and design work does not constitute legal, regulatory, financial, investment, tax or other regulated professional advice.

9.Intellectual property on this website

Unless stated otherwise, the website and its original content, design, graphics, copy, branding, code and other materials are owned by or licensed to Alex Longson Ltd and are protected by applicable intellectual-property laws.

You may view and use the website for ordinary personal or internal business purposes.

You must not reproduce, republish, sell, scrape, systematically download, distribute, modify or commercially exploit substantial parts of the website without our written permission, except where the law expressly permits it.

Longson Studio®, Launch Kit™ and Raise Kit™ and associated branding are used as identifiers of Longson Studio products and services. Nothing on the website grants a licence to use them.

10.Intellectual property in client work

Client-project intellectual property is governed by the relevant signed services agreement.

Our standard approach is that, once all amounts due have been paid in full, ownership of agreed final bespoke deliverables transfers to the client to the extent specified in that agreement.

Alex Longson Ltd retains ownership of its pre-existing materials, methods, know-how, processes, templates, systems, tools and unused concepts unless expressly agreed otherwise.

Third-party materials, including fonts, software, stock assets and licensed content, remain subject to their own licence terms.

11.Portfolio use

Unless confidentiality or another restriction is agreed in writing, Longson Studio may display completed and publicly released client work in its portfolio, website, social channels, presentations, awards submissions and studio marketing.

Any different arrangement will be governed by the relevant services agreement.

13.Availability and security

We aim to keep the website available and secure, but we do not guarantee uninterrupted or error-free access.

We may suspend, withdraw or restrict all or part of the website for operational, security or maintenance reasons.

You must not misuse the website by knowingly introducing malicious code, attempting unauthorised access, interfering with its operation or using it unlawfully.

14.Liability

Nothing in these terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

To the extent permitted by law, Alex Longson Ltd is not liable for indirect or consequential loss arising solely from use of, or inability to use, this public website or reliance on general website content.

Liability relating to paid professional services is governed by the applicable signed services agreement.

If you are a consumer, nothing in this section affects rights or remedies that cannot legally be excluded or restricted.

15.Privacy and cookies

Our processing of personal information is described in our Privacy Policy.

Our use of cookies and similar technologies is described in our Cookie Policy.

Where consent is required for non-essential technologies, you can provide, refuse or withdraw that consent through Cookie Settings.

16.Changes to these terms

We may update these terms when the website, our business or applicable law changes.

The current version will always be published on this page with its last-updated date.

17.Governing law

These terms are governed by Scots law.

The Scottish courts have jurisdiction over disputes relating to these terms, subject to any mandatory rights a consumer has to bring proceedings in another competent court under applicable consumer law.
